This Risk Disclosure describes some of the material risks of acquiring, holding, or transacting in the ROV token ("ROV" or the "Token") and of participating in the Rovum Presale or otherwise using the services operated by Rovum ("Rovum", "we", "us") at rovum.net and app.rovum.net (the "Services"). It supplements our Terms & Conditions and Privacy Policy.
Read this carefully. Digital assets are high-risk. You could lose some or all of the value you commit. Only commit funds you can afford to lose entirely. This document does not describe every risk. Nothing here is financial, legal, or tax advice.
1. No Advice and No Reliance
Nothing on the Services constitutes financial, investment, legal, accounting, or tax advice, or a recommendation to acquire, hold, or dispose of ROV. We are not your broker, adviser, or fiduciary. You are solely responsible for your own decisions and should obtain independent professional advice suited to your circumstances before participating.
2. Risk of Total Loss
The value of digital assets can fall as well as rise, and ROV may become worthless. You may lose your entire contribution. There is no guarantee of any return, profit, yield, liquidity, listing, or future value, and past performance of any asset is not indicative of future results.
3. Market and Volatility Risk
Digital-asset prices are highly volatile and can change dramatically in short periods due to speculation, sentiment, macroeconomic events, liquidity conditions, and factors that are unpredictable and outside our control. The price you pay during the Presale may be higher than any later market price, and prices may move sharply against you.
4. Liquidity Risk
There may be no active or liquid market for ROV at any time. You may be unable to sell or transfer ROV when you wish, at an acceptable price, or at all. We do not guarantee any exchange listing, market-making, or trading venue, and any listing that does occur may be delisted or illiquid.
5. No Guarantee of the Project, TGE, or Features
Rovum is an early-stage project. The development, launch, and continued operation of the protocol, the Token Generation Event ("TGE"), token distribution, and any described feature (including fee rebates, staking, governance, buybacks, revenue-sharing, cross-asset settlement, and real-world-asset trading) are not guaranteed and may be delayed, modified, or abandoned. Roadmaps and timelines are aspirational and forward-looking, and actual outcomes may differ materially.
6. Allocation, Distribution, Vesting, and Dilution Risk
A Presale contribution reserves an allocation that is intended to be distributed at or after the TGE, subject to any vesting, lock-up, or distribution schedule. You will not receive ROV at the time of contribution and bear the risk that distribution is delayed or does not occur. The issuance of additional tokens, treasury actions, or changes to tokenomics may dilute the relative position or value of your holdings.
7. Regulatory and Legal Risk
The legal and regulatory treatment of digital assets is uncertain and evolving and varies by jurisdiction. Future laws, regulations, guidance, enforcement actions, or court decisions could adversely affect ROV, the protocol, our ability to operate, your ability to hold or transfer ROV, or the value or legality of your holdings. A regulator could deem ROV to be a regulated instrument in your jurisdiction. You are responsible for ensuring that your participation is lawful where you live. Access may be restricted or withdrawn in certain jurisdictions.
8. Technology and Smart-Contract Risk
The Services rely on blockchain networks, smart contracts, and related software, which may contain bugs, vulnerabilities, or design flaws. Smart contracts are experimental and may be exploited, fail, or behave unexpectedly, potentially resulting in partial or total loss of assets. An audit (whether in progress or completed) reduces but does not eliminate risk and is not a guarantee of safety. Upgrades, migrations, or governance changes may also introduce new risks.
9. Security, Custody, and Wallet Risk
You are responsible for the security of your wallet, private keys, seed phrase, and devices. If you lose your private keys or seed phrase, your assets cannot be recovered by anyone, including us. Transactions on public blockchains are irreversible. You are exposed to risks including phishing, social engineering, malware, SIM-swap attacks, fraudulent websites, fake "support" accounts, and theft. We will never contact you first to request your seed phrase or private keys, and we will never ask you to move funds to "secure" them.
10. Transaction and Operational Risk
Sending the wrong asset, using the wrong network, mistyping an address, or setting incorrect transaction parameters can result in permanent loss. Network congestion, high or volatile gas fees, failed transactions, downtime, and delays may affect your ability to transact. We are not responsible for losses arising from such events.
11. Counterparty and Third-Party Risk
The Services depend on third parties, including blockchain validators, wallet providers, oracles and price feeds, custodial or banking partners, identity-verification providers, exchanges, and infrastructure vendors. The failure, insolvency, error, manipulation, or compromise of any such third party could adversely affect you, the Token, or the protocol. Real-world-asset functionality, where offered, depends on issuers, custodians, and redemption mechanisms that carry their own risks.
12. Oracle and Pricing Risk
Protocol features may rely on external data sources and oracles. Inaccurate, delayed, or manipulated data could cause incorrect pricing, execution, or settlement and result in loss.
13. Blockchain-Specific Risk
Blockchain networks may experience forks, reorganizations, 51% attacks, consensus failures, congestion, or discontinuation. Such events may affect the availability, integrity, or value of ROV and could result in duplicated, lost, or stranded assets.
14. No Insurance or Compensation Scheme
ROV and digital assets are not bank deposits and are not covered by any deposit-insurance, investor-compensation, or government-backed protection scheme. If you suffer loss, you may have no recourse and no entitlement to compensation.
15. Tax Risk
The tax treatment of acquiring, holding, disposing of, staking, or otherwise dealing in ROV is complex, uncertain, and depends on your circumstances and jurisdiction. You are solely responsible for determining and meeting your tax obligations. Consult a qualified tax adviser.
16. Fraud and Impersonation Risk
The digital-asset space is targeted by scams. Impersonators may copy our brand, website, social accounts, or team to deceive you. The only official addresses are rovum.net and app.rovum.net. Always verify the URL, never share your seed phrase, and treat unsolicited offers, giveaways, "doubling" schemes, and direct messages as fraudulent.
17. Conflicts of Interest
Rovum, its team, advisors, and affiliates may hold ROV and may have interests that differ from yours. Allocations to the team and treasury, and the timing of their vesting or use, may affect supply and price.
18. Forward-Looking Statements
The Services may contain forward-looking statements about plans, expectations, and projections. These involve known and unknown risks and uncertainties, and actual results may differ materially. We undertake no obligation to update forward-looking statements except as required by Applicable Law.
19. Jurisdictional Restrictions
The Services and ROV are not offered to any person in any jurisdiction where doing so would be unlawful. Persons in restricted or sanctioned jurisdictions, and persons subject to applicable sanctions, are prohibited from participating. It is your responsibility to comply with the laws applicable to you.
20. Acknowledgement
By acquiring or holding ROV or using the Services, you acknowledge that you have read and understood this Risk Disclosure, that you accept these and other risks, that you are acting on your own judgment and at your own risk, and that you can bear the loss of the entire value you commit.
